Proposed Amendments to the Bylaws

In accordance with the Board of Directors’ recommendations, which have come as a result of internal and external assessment and research, the Board is asking you to vote to amend and restate the bylaws to change CAMA into a nonmember organization—with the term “member” here referring only to the legal definition listed above, and having no impact on your current annual membership with the Crocker or any of the benefits you receive as a paying member. Your annual paid membership and your membership benefits will not be affected by this amendment.

The Board of Directors of CAMA (the Board) strongly recommends that you give your approval. Amending and restating the bylaws will help us streamline our governance and reduce costs, permitting us to spend more on charitable purposes and less on administration. You will be enabling us to create a more efficient and cost-effective governance structure that will allow the Crocker to move into the 21st century along with its peer Museums.

Proposed Amendments Detail

  • Delete Section 2 (“Membership and Meetings”) in its entirety, to be replaced by a new section that will read as follows: “2. Membership. This corporation shall have no voting members,”
  • Remove all requirements for member approval and authrization of corporate actions;
  • Remove the requirement for Directors to be members in good standing of CAMA; (however all Board members will be required to support the Museum at the Director’s Circle Trustee level or above);
  • Remove all provisions for the election of Directors by the members at the annual meeting, to be replaced by the election of new directors by the existing directors;
  • Change the bylaws amendment provision, such that only the consent of a majority of the Directors in office will be required for any amendment to the bylaws from now on; and
  • Remove all other provisions in the bylaws that refer to members.

New Benefit to Members:
Parking Validation at City Garages


During construction, we are offering members an additional benefit of validated parking for up to $5 at three nearby City of Sacramento garages. Present your parking ticket along with your membership card at the Front Desk to receive validation. Rates range from $1.25 - $1.50 per half hour and validation covers $5 in parking fees, or approximately 1.5 hours of parking. Not valid for the surface parking lots adjacent to Crocker Park.
